User Service Agreement

In addition to this Agreement, we will also issue other rules and policies, such as the User Privacy Protection Policy. For the other rules and policies issued by us, the corresponding rules and policies shall prevail. This Agreement shall prevail with respect to the matters not mentioned in corresponding rules and policies.

We have the right to amend this Agreement from time to time as needed and to publish it on our website. Please pay attention from time to time to the changes of this Agreement. If you continue to use our services after the date of this change, you shall be deemed to have fully read, understood and accepted the changes and continued to use our service.

1. 

We will provide the identification of virulence factor genes and analysis services ("Hugo Service") to users through the HugoBio website RVFscan, and we will not make any changes or edit the content uploaded by users through the website.

2. 

We only provide related network services. Except for the foregoing, equipment related to the network services (such as personal computers, mobile phones, and other devices related to the Internet or mobile network) and required costs (e. g. telephone charges and network charges paid for accessing the internet and mobile phone charges paid for using the mobile network) shall be at your own expense.

1. 

Account Registration

1.1 

When you read and agree to this Agreement, fill in the corresponding information and register, you will become our user. In order to provide you with the corresponding services, you should truly, accurately and effectively provide your user name, email address and business name according to our requirements, so that we can contact you as soon as possible. In order to ensure the effectiveness of your information, you should update the relevant information timely when it changes.

1.2 

According to the relevant legal requirements, we will check the information that you provide accordingly to ensure its timeliness, authenticity, and integrity. If we fail to contact you based on the information you provide, you shall bear the adverse consequences arising therefrom.

You may inquire about and correct your information on the account setting page. You shall register your account with your real identity information, and the account name, avatar, profile and other registration information shall not contain any illegal or objectionable information. In the meantime, after the registration, if we find that you have registered an account in a fraudulent manner with false information or there is any violation of laws or objectionable information in the head picture, introduction and other registration information of your account, we shall have the right to take unilateral measures such as rectification within a specified time limit, suspension of use or termination of the account without notice. After you fill out the information, read, and agree to the terms of this Agreement, and complete all the registration procedures, you can obtain the account and become our user.

2. 

Account Use

We have the right to take the following measures against you under the laws and regulations:

2.1 

If you violate the provisions of laws and regulations, our individual terms or business rules, we have the right to make independent judgment and correct, suspend, terminate your use of the account at any time, and decide whether to resume use according to the actual situation;

2.2 

If we find that you are not the registrar of the initial application, we have the right to terminate your use of the account without notice;

2.3 

Any loss caused by Article 2.1 of this Agreement shall be borne by yourself.

3. 

Account Custody and Retrieval

The account number includes the account name and password, and you can log in with the set account name (including user name, email address) and password. Please keep good care of your account, and the losses caused by your active disclosure or being stolen by others will be borne by yourself. If the account information is lost due to your personal reasons, and you need to retrieve the account information, please provide the corresponding information according to the account recovery process, and ensure that the information provided is legal, true and effective. If the information provided does not meet the requirements and cannot pass the security verification, we have the right to refuse to provide the account recovery service.

4. 

Account Cancellation

If you need to terminate the service, you may apply for cancellation of your account if the following conditions are met:

4.1 

You can only cancel your own account by sending an email to rvfscan@hugobiotech.com;

4.2 

You shall remain liable for your actions before canceling your account and during the use of the service;

4.3 

You shall be aware that your account termination means that your user content will be removed from our active database.

As our user, you can enjoy the services provided by HugoBio and its related parties.

2. 

You shall not abuse the Hugo Service. We hereby solemnly call your attention that any information, material, characters, software, music, audio, photo, graphics, video, message, registration information or other information of the users (hereinafter referred to as "Content") uploaded, posted, transmitted or transferred in any other way through this service, whether publicly or privately, shall be borne by the content provider and user for their upload and use. As a provider of the service platform for data management and analysis, we cannot control the content transmitted through the service, or comprehensively control the behavior of users. Therefore, we cannot guarantee the legitimacy, correctness, completeness and authenticity of the content.

3. 

You may not make unauthorized access or use of Hugo Service in any form, including, but without limitation, alteration, copying, dissemination, vertical search, mirroring, or transactions, unless provided with our express prior written authorization.

4. 

You shall promise never to use the services provided by HugoBio and its related parties for any illegal purpose or in any illegal manner, and to comply with relevant PRC laws, regulations and all international practices of the Internet use, and to comply with all registered user agreements, rules and procedures related to the registered user services.

5. 

You shall agree and guarantee that you shall not use the services we provide to you to infringe upon the lawful rights of others or engage in illegal acts. The violator shall bear all legal liabilities. The above acts include, but are not limited to:

5.1 

Violation on others' reputation, privacy rights, trade secrets, trademark rights, copyright, patent rights, other intellectual property rights and other rights and interests;

5.2 

Register and use the services provided by HugoBio and relevant parties in the name or identity information of other parties;

5.3 

Engaged in any behavior that may contain computer viruses or may infringe on the service system, datum, information;

5.4 

Using any plug-in components, system or third-party tools to interfere with, destroy, modify, or conduct of exerting other influence the normal operation of the relevant public account platform and related services of the registered users;

5.5 

Entering a computer information network or using the computer information network resources without permission;

5.6 

Removing, modifying, or increasing the computer information network function without permission;

5.7 

Delete, modifying or adding data and applications stored, processed or transmitted into the computer information network without permission;

5.8 

Deliberately producing or spreading computer viruses and other destructive programs;

5.9 

Other acts endangering the security of the computer information network.

6. 

You agree that, any third party recovers to HugoBio and its affiliates due to the registered user's breach of this Agreement, or violation of documents incorporated into this Agreement by citation and made part of this Agreement, or violates any law or the rights of a third party, HugoBio and its related parties shall have the right to recover from you after repayment.

If your use of the Hugo Service does not comply with this Agreement, we have the right to make an independent judgment through notice, report, etc., and we have the right to immediately terminate some or all of the services provided to you without prior notice. If you distribute and disseminate information about reactionary, pornographic or other violation of national laws and regulations, the system records of the Hugo service may be used as evidence of your violation of laws and regulations. You shall be solely responsible for any damage or loss resulting in any claim or derivative claim by any third party arising from your uploading and dissemination of the above content by the Hugo Service.

2.

You understand and agree that, based on the particularity of the Internet, we do not guarantee that the services will not interrupt, or guarantee the timeliness and/or security of the service. If the system fails to function normally and the registered users fail to use any service provided by HugoBio and relevant parties or their use of relevant service is affected in any way due to reasons not attributable to HugoBio, HugoBio shall not be liable to the registered users or third parties. The foregoing reasons include but are not limited to:

1.1 

During the normal system shutdown and maintenance period;

1.2 

Management decisions to suspend or terminate relevant services;

1.3 

Data transmission cannot be performed because of the telecommunication equipment has failed;

1.4 

Related service interruption or delay caused by hacking attacks, technical adjustment or failure of network suppliers, platform upgrade problems, etc.;

1.5 

Inobstacles to the service system due to force majeure factors such as typhoon, earthquake, tsunami, flood, power failure, war and terrorist attacks;

2. 

You understand and agree that we have the right to modify, interrupt, suspend or terminate the relevant registered user service for the needs of the overall operation after the general operation by notice without any responsibility or any liability to you.

In addition to what you personally upload and disseminate, we have the ownership and right to use of the Hugo Service and all its elements, including but not limited to all content, data, technology, software, code, user interface and any derivative works; user information.

2. 

None of the above information shall be published , broadcast, rewrite or reproduced for broadcast or release purposes in any media direct or indirectly, or be used for any other commercial purpose without our consent. The above information or any part thereof may be kept in a computer for private use only. HugoBio shall not be liable for any delay, accuracy, errors, omissions or damages arising from the above information or during the transmission or submission of all or part of the above information, in any way to the user or any third party. HugoBio shall not bear legal or economic responsibility to the user or any third party in any form.

3. 

All rights of any software used for the provision of the analysis services (including, but not limited to, any images, photos, animation, video, recording, music, words and additional programs, accompanying assistance materials contained in the software) belong to the copyright owner of the software. Without the permission of the copyright owner of the software, users shall not reverse engineer, reverse compile or disassemble the software, or otherwise discover its original code, or commit any suspected copyright infringement.

4. 

You cannot privately copy the crack, reverse modify the product, and use the plug-in. You cannot steal or disclose the privacy data of other users. You cannot publish pornography, harm to public security, harm to national unity and other content on the platform. You cannot privately use the content belonging to the copyright of the platform, for profit behavior, etc.

5. 

If the content you upload allows other users to download, view, listen, or otherwise access or distribute, you must ensure that the release and related actions are in accordance with the relevant copyright policies in the relevant intellectual property laws and regulations, including but not limited to:

5.1 

Upon receiving the notice of infringement, the user should immediately delete or prohibit access to the statement of the infringement content, and contact the person delivering the notification for detailed information at the same time;

5.2 

The user is aware and agrees that HugoBio will deal with the qualified infringement notice issued by the third party in accordance with relevant laws and regulations, remove or prohibit the infringement content of the statement as required, and adopt and implement appropriate policies, in order to prevent repeated infringement under the corresponding conditions.

We fully respect the protection of your personal information, and the User Privacy Protection Policy lists the relevant policies and procedures to be followed in the collection and use of your personal information.

1. 

Share information. You can proactively set up to share information with others. You shall know that various search engines may grab this information when you share it publicly.

2. 

Research information. For the purposes of data analysis, academic research, internal audit, we may provide information forms inviting you to fill out relevant information about the test samples, including bacterial species names, sample types, etc.

3. 

We will not disclose or provide third parties with non-public content stored by users on the Hugo Service unless the following:

3.1 

Provisions of relevant laws and regulations or provisions of legal service procedures of Hugo Service;

3.2 

In the protection of the rights and interests of users and the public in case of emergency;

3.3 

In order to safeguard the trademark right, patent right and any other legitimate rights and interests granted to HugoBio;

3.4 

Other circumstances that need to be disclosed, edited or leaked according to law.

1. 

If you are under the age of 18, you shall read this Agreement and use the relevant services under the guardianship, guidance and the consent of the guardian;

2. 

We attach great importance to the protection of minors' personal information. When minor users fill in their personal information, please strengthen their personal protection awareness and take it carefully. Please use relevant services correctly under the guidance of the guardian;

3. 

You understand that if you violate the laws, regulations and the contents of this Agreement, you and your guardian shall bear all such consequences in accordance with the law.

1. 

We may change this service or remove part of its functionality at any time for any reason. We may cancel or terminate our service to you at any time. Our decision to cancel or terminate the services does not require cause or to notify you. Your right to use the service ends immediately once the service is cancelled. Any information that you store in this service may not recover once the service is cancelled or terminated.

2. 

You understand that Hugo Service is provided under the existing technology and conditions. We will do our best to ensure the coherence and security of the services, but we cannot always anticipate and guard against legal, technical and other risks, including but not limited to force majeure, government behavior/changes in laws and regulations, viruses, trojan horses, hacking attacks, system instability, third-party service defects, etc. Due to the aforementioned situation, we are not liable to you for any service interruption, service suspension, data loss, and other losses or risks arising from any indirect, derivative, disciplinary, incidental, or punitive losses/damage.

3. 

We do not guarantee (including, but not limited to) that:

3.1 

Hugo Service is suitable for your use requirements;

3.2 

Hugo Service is undisturbed, timely, safe, reliable or without error. Any product, service or other materials you obtain through Hugo Service meet user's expectations;

3.3 

Any information downloaded or obtained through the Hugo Service is at your own risk; you are fully responsible for damage or loss of your computer system because of such use.

4. 

We do not bear any direct or indirect damages for profit, business reputation, loss of data, or other tangible or intangible losses arising from:

4.1 

Use or Unable to use of Hugo Service;

4.2 

Any products, materials, or services purchased or obtained;

4.3 

Unauthorized use or modification of your information; and other matters related to Hugo Service;

4.4 

Disputes or losses caused by you authorize third parties to access/use the content of your Hugo Service space (including third party applications) shall be in your own responsibility and independent to us.

1. 

You understand and agree that, in order to maintain the internet security and order, and to protect the legitimate rights and interests of network users, if we find or receive reports from others that you have violated the relevant agreements, this Agreement or relevant regulations and policies, we have the right to unilaterally take one or more of the following measures at any time according to our own judgment (the length of the specific measures shall be determined by us according to the corresponding circumstances of your breach of law and contract), any loss caused or arising therefrom or any third party claim shall be at your own expense:

1.1 

Warning to you;

1.2 

Limit, suspend or terminate the use of some or all functions of the software or the service;

1.3 

Delete, block related content, or dislinks;

1.4 

Suspend or terminate your use of your account;

1.5 

If you are investigated by the competent authority or complained by a third party, or if you complain to a third party, we have the right to provide the subject information, contact information, complaint related content (including but not limited to name, telephone, license, etc.) of relevant parties in dispute to the relevant parties or competent department, in order to timely solve complaint disputes, protect the legitimate rights and interests of all parties;

1.6 

Your legal responsibility shall be held accountable according to the law.

2. 

We respect and protect the intellectual property rights and interests of reputation, name and privacy rights of users and others. You shall guarantee that the words and pictures uploaded in the use of the Hugo Service do not infringe the rights of intellectual property rights, reputation rights, name rights, privacy rights and legitimate rights and interests of any third party. Otherwise, we have the right to remove the alleged infringement with notice from the right party or the relevant parties. For all claims made by a third party, you shall handle and bear all legal liabilities that may arise from them. If HugoBio and its related parties, control company and successor company suffered losses (including economic and goodwill losses) because of your infringement, you shall also pay full compensation to HugoBio and its related parties, control company and successor company.

1. 

The right of final interpretation of this Agreement belongs to HugoBio.

2. 

This Agreement shall come into force upon published, we have the right to modify the contents of the Agreement at any time and the revised results shall be published on the website. You have the right to stop using the network services if you disagree with our changes to the relevant provisions of this Agreement. If you continue to use the network services, you are deemed to accept the changes we have made to the relevant terms of this Agreement.

3. 

All notices under this Agreement to you may be made by website announcement, email, SMS or regular mail delivery. Such notices shall be deemed to be delivered to the recipient on the date of delivery.

4. 

The conclusion, execution and interpretation of this Agreement and the resolution of disputes shall be governed by Chinese law and under the jurisdiction of the Chinese courts. In case of any dispute over the contents of this Agreement or its execution, both parties shall settle it through friendly negotiation. If the negotiation fails, either party may bring a lawsuit in the people's court with jurisdiction where HugoBio is registered.

5. 

This Agreement constitutes a complete agreement between the parties on these agreed matters and other related matters, and gives no other rights to the parties hereto except as provided herein.

6. 

If any provision of this Agreement may be wholly or partially void, or void for any reason, the remaining provisions of this Agreement shall be valid and binding.
